Investment Relations Collective LLC (IRC) — Website Terms of Service

These Website Terms of Service (“Terms”) govern your access to and use of the online community, website, forums, groups, messaging, events, features, content, and services provided by Investment Relations Collective LLC, a Utah limited liability company doing business as IRC (“IRC,” “we,” “us,” or “our”). By accessing or using the website or any IRC community services (collectively, the “Platform”), or by creating an account, posting content, or clicking “I agree,” you (“you,” “Member,” or “User”) accept and agree to be bound by these Terms. If you do not agree, do not access or use the Platform.

1. Scope and Acceptance

1.1 Scope. These Terms apply to all use of IRC’s Platform, including browsing, registering, posting, messaging, participating in events, using community tools, and purchasing Platform services or subscriptions, unless a separate written agreement governs a particular service.

1.2 Changes. IRC may modify these Terms at any time. Material changes will be posted on the Platform or otherwise communicated. Continued use of the Platform after posting constitutes acceptance of the modified Terms.

2. Eligibility; Account Registration

2.1 Eligibility. You must be at least 18 years old and able to form binding contracts to register or use the Platform. If you use the Platform on behalf of an organization, you represent you are authorized to bind that organization.

2.2 Account Information. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update your account information. You are responsible for all activity on your account and for maintaining the confidentiality of your login credentials.

2.3 Account Security. Notify IRC immediately of any unauthorized use or security breach. IRC is not liable for losses resulting from unauthorized account use unless caused by IRC’s gross negligence or willful misconduct.

3. Community Conduct and Acceptable Use

3.1 General Rules. You agree to use the Platform lawfully, respectfully, and in accordance with these Terms and any posted community guidelines. Prohibited conduct includes, but is not limited to:

- Harassment, threats, hate speech, or abusive conduct toward others;

- Posting defamatory, obscene, pornographic, violent, or otherwise objectionable content;

- Impersonation of any person or entity or misrepresenting your affiliation;

- Posting private, personal, or confidential information about others without consent;

- Spam, unsolicited commercial messages, pyramid schemes, or solicitations;

- Uploading malware, viruses, or harmful code;

- Illegal activity, including fraud, money laundering, or securities law violations;

- Recruiting, contacting, or soliciting minors for sexual or exploitative purposes.

3.2 Professional & Investment Content. The Platform may include discussions of investments, markets, or financial topics. Such content is for informational and community purposes only and is not financial, investment, tax, or legal advice. You should consult a licensed professional for advice tailored to your situation. You must not use the Platform to provide regulated investment advice unless you are properly licensed and disclose your credentials in accordance with applicable law.

3.3 Enforcement. IRC may take any action it deems appropriate to enforce these Terms and protect the Platform, including removing content, issuing warnings, limiting features, suspending or terminating accounts, and reporting illegal activity to law enforcement. IRC is not obligated to monitor the Platform but may do so.

4. User Content and License to IRC

4.1 User Content. “User Content” means any content you submit, post, upload, or display on or through the Platform, including text, images, audio, video, links, comments, profiles, messages, and other materials.

4.2 License Grant. By submitting User Content, you grant IRC a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit the User Content in connection with operating, promoting, and improving the Platform and IRC’s business (including marketing, syndication, and inclusion in aggregated or anonymized data). This license includes the right to grant sublicenses to third-party service providers and platform partners.

4.3 Ownership and Responsibility. You retain ownership of your User Content subject to the license granted to IRC. You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant the rights in Section 4.2 and that your User Content does not violate any law or third-party rights.

4.4 Moderation Rights. IRC may remove, modify, or refuse to publish any User Content that violates these Terms, community guidelines, or that IRC determines in its discretion is inappropriate. IRC does not guarantee to back up or preserve User Content.

5. Privacy; Data Use

5.1 Privacy Policy. IRC’s Privacy Policy, which is incorporated into these Terms, explains how IRC collects, uses, stores, and discloses personal data. By using the Platform you consent to the Privacy Policy.

5.2 User-Provided Data. You are responsible for the lawfulness, accuracy, and content of any personal data or other information you provide via the Platform. Do not post personal data of third parties without their consent.

5.3 Analytics and Aggregated Data. IRC may collect and use analytics and aggregated, anonymized data derived from Platform usage for product development, research, or commercial purposes without a separate obligation to Members.

6. Paid Services, Subscriptions, and Transactions

6.1 Paid Features. The Platform may offer paid features, subscriptions, or event fees. Additional terms, pricing, and refund policies for paid services will be provided at purchase. By purchasing, you agree to the applicable payment terms and policies.

6.2 Payment Processing. Payments may be processed by third-party payment processors. Your payment information is subject to the processor’s terms and privacy policy.

6.3 Refunds and Cancellations. Refunds, cancellations, and trial terms are governed by posted policies at the time of purchase or by the specific service agreement. Unless otherwise stated, fees are non-refundable.

7. Intellectual Property Rights

7.1 IRC IP. All Platform software, code, website design, logos, trademarks, trade names, and IRC-provided content are owned or licensed by IRC and are protected by copyright, trademark, and other intellectual property laws.

7.2 Restrictions. You may not copy, reproduce, modify, create derivative works, publicly display, sublicense, distribute, or otherwise use IRC IP except as expressly permitted in writing by IRC.

7.3 Third-Party Content. The Platform may display or link to third-party content or software subject to third-party terms and licenses. IRC disclaims responsibility for third-party content and is not liable for your use of it.

8. Confidentiality

8.1 Confidential Information. “Confidential Information” means non-public information disclosed in a manner that reasonably should be understood as confidential. Confidential Information does not include information that is public, independently developed, or rightfully obtained from a third party without restriction.

8.2 Protection. Each party will protect the other’s Confidential Information with reasonable care and will not disclose it except to employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations.

8.3 Compelled Disclosure. If compelled by law to disclose Confidential Information, the receiving party will provide prompt notice where permitted and cooperate to seek protective measures.

9. Warranties; Disclaimers

9.1 Mutual Authority. Each party represents it has the legal power and authority to enter into these Terms.

9.2 Platform Warranty. IRC warrants it will provide the Platform materially as described. Except as expressly provided, the Platform and all content and services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

9.3 No Investment Advice. Content on the Platform is not investment or financial advice. IRC is not a broker-dealer, investment advisor, or registered financial professional unless otherwise expressly stated in a specific service agreement.

10. Limitation of Liability

10.1 Exclusion of Damages. To the fullest extent permitted by law, IRC and its officers, members, managers, employees, agents, affiliates, suppliers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to these Terms or your use of the Platform.

10.2 Aggregate Liability. IRC’s total aggregate liability for direct damages arising from or related to these Terms or the Platform will not exceed the greater of (a) the total amount you paid to IRC for the services giving rise to the claim during the twelve (12) months preceding the claim, or (b) $100.

10.3 Carve-Outs. The limitations above do not apply to liability resulting from gross negligence, willful misconduct, or IRC’s breach of confidentiality obligations.

11. Indemnification

You agree to indemnify, defend, and hold harmless IRC and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms; (b) your User Content; (c) your misuse of the Platform; (d) your violation of applicable law; or (e) third-party claims related to information you provide.

12. Termination and Suspension

12.1 Termination by IRC. IRC may suspend or terminate your account or access to the Platform at any time, with or without notice, for conduct that IRC reasonably believes violates these Terms or is harmful to other users or the Platform.

12.2 Effect of Termination. Upon termination, your right to access the Platform ends. IRC may delete or retain User Content and account data as permitted by law and the Privacy Policy. Termination does not relieve you of obligations incurred prior to termination, including payment obligations and indemnities.

12.3 Survival. Sections that by their nature should survive termination (including Sections 4, 5, 6, 7, 8, 9, 10, 11, 12.3, 13, 14, and 15) will survive.

13. Community Moderation; Reporting Abuse

13.1 Moderation. IRC maintains the right to moderate content and activities. Moderation may include automated and human review and is not a promise to monitor all activity.

13.2 Reporting. If you observe violations, illegal activity, or safety concerns, report them through Platform reporting tools or contact IRC at jordan@investmentrelationscollective.com.

14. Dispute Resolution; Governing Law; Venue

14.1 Governing Law. These Terms and any disputes arising out of or relating to them are governed by the laws of the State of Utah, without regard to conflict-of-law rules.

14.2 Venue and Jurisdiction. The parties submit to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah for any litigation.

14.3 Alternative Dispute Resolution. The parties will attempt in good faith to resolve disputes through negotiation between senior representatives. If unresolved within thirty (30) days, disputes may be submitted to binding arbitration in Salt Lake County, Utah under the American Arbitration Association rules (unless otherwise agreed). Either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

15. Export Controls and Compliance

You will comply with all applicable export, trade sanctions, and economic sanctions laws in your use of the Platform. You will not use the Platform in violation of applicable law, including securities and anti-money laundering laws.

16. Third-Party Services and Links

The Platform may contain links to third-party sites, services, or integrations. IRC does not control third-party content and is not responsible for their practices or terms. Your use of third-party services is governed by those third parties’ terms.

17. Miscellaneous

17.1 Relationship. The parties are independent contractors. Nothing creates a partnership, joint venture, employer-employee, or agency relationship.

17.2 Assignment. You may not assign your rights or obligations without IRC’s prior written consent. IRC may assign these Terms in connection with a merger, sale, or transfer to an affiliate.

17.3 Entire Agreement. These Terms, together with the Privacy Policy and any paid-service terms or other agreements you enter into with IRC, constitute the entire agreement regarding the Platform and supersede prior understandings.

17.4 Severability. If any provision is held invalid or unenforceable, the remainder of these Terms will remain in effect.

17.5 Waiver. Failure to enforce any right is not a waiver of that right.

17.6 Force Majeure. IRC is not liable for failure to perform due to causes beyond reasonable control (e.g., natural disasters, strikes, cyberattacks, governmental actions). IRC will use reasonable efforts to resume performance.

19. Feedback

If you provide feedback, ideas, or suggestions regarding the Platform, you grant IRC a perpetual, irrevocable, non-exclusive, transferable, royalty-free license to use and commercialize such feedback without obligation to compensate you.

20. Acknowledgement

By creating an account, posting content, using the Platform, or clicking “I agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms.
